Advising Ultima on its acquisition of The AntiSocial Engineer
Cloud, security and digital service provider, Ultima Business Solutions Limited, owned by Apse Capital Limited, has acquired The AntiSocial Engineer Limited, an ethical social engineering company that helps organisations protect themselves against cyber-attacks.
Tom Kelleher and Laura Spendiff, from Capital Law’s corporate team, advised Ultima on the deal.
This transaction builds on Ultima’s previous acquisition of Just After Midnight in 2021 and continues the business’ strategy to grow both organically and through acquisition.
Laura Spendiff, Associate at Capital Law, said:
This was our first time acting for Ultima, and we have been hugely impressed with their team. It’s been a pleasure to advise them at such a key moment in their ambitious growth strategy. The combination of Ultima’s established experience and expertise, with The AntiSocial Engineer’s innovative approach to cybersecurity testing/training, is a fantastic opportunity for both businesses. We look forward to following their success.
Tamsin Ashmore, CFO of Ultima Business Solutions, said:
This is a strategic deal for us, and is key in supporting our security portfolio, and we’d like to thank Laura and Tom for their support. Their in-depth knowledge of both the legal and practical aspects of corporate acquisitions, as well as their relevant sector experience means that they were able to handle the transaction from start to finish in a seamless way, and were very commercial in their approach.
Thomas Hobbs, Investment Manager at Apse Capital, said:
The team at Capital know what they’re doing – and it’s been apparent on this deal. Their transaction and private equity expertise, experience in the IT services sector, as well as their pragmatic and efficient approach, made it enjoyable to work with the team.
